    What duty does a community association board member owe to their association? What happens if that duty is breached? During the legislative session, legislation was proposed that would have made directors criminally liable for failure to timely respond to official record requests, among other provisions.

    The legislation in House Bill 919 was proposed by Representative Porras in response to the alleged $3.4 million dollar embezzlement scheme that took place at the Hammocks Community Association, located in Miami-Dade County. Parts of this proposed bill were well-intentioned; however, several provisions were commonly viewed as too broad and expansive.

    On November 15, 2022, the Miami-Dade State Attorney’s Office announced charges related to the Hammocks’ criminal case, including racketeering, organized scheme to defraud, money laundering, grand theft, and fabricating physical evidence against five board members. These board members have been accused of the following:

    i) running a scheme in which they used HOA checks and HOA credit cards from 55 bank accounts to pay for “no-show” work by shell companies or vendors, who would funnel money back to the directors for their personal use;

    ii) withholding official records from members; and,

    iii) failure to hold valid elections, among other bad acts.

    If found guilty these board members overtly breached their fiduciary duty to their association.

    During the 2023 legislative session, House Bill 919 initially contained significant criminal penalties to punish board members who failed to provide official records when they otherwise should have, criminal penalties for kickbacks, and criminal penalties for improper election interference, among other provisions. Such laws, while well intended, went overboard as evidenced by the creation of criminal penalties for failure to provide official records, as such severe criminal penalties for operational matters would likely only deter good people from running for the board. Recognizing this potential issue, parts of HB 919 were tempered a bit prior to it becoming law. That said, in the opinion of this author, new laws with new criminal penalties are not the answer. Bad people do bad things, and no amount of laws will likely significantly change that. So, what is the answer?

    One answer is to shore up the educational and certification requirements for board members. At present, there are two ways to be certified as a board member. One method is to take a State-approved class, which provides an overview of the voluminous information board members need to know in order to perform their duties. The other method is to sign a piece of paper that the board member has read the governing documents, will abide by them, and will faithfully discharge their duties. This second method should be eliminated as there is no method to confirm compliance, and this method does not have any educational component. In addition, continuing education requirements should be required for any board member serving consecutive years.

    During a board certification class, time should be spent discussing the term “fiduciary duty.” While the term is repeatedly used in Chapters 718 and 720 of the Florida Statutes, it is not expressly defined in these statutes. Section 718.111, Florida Statutes, makes reference to Section 617.0830, Florida Statutes, which provides for general standards for directors of not-for-profit corporations, such as community associations.

    Section 617.0830, Florida Statutes, provides the following:

        1. A director shall discharge his or her duties as a director, including his or her duties as a member of a committee i) in good faith; ii) with the care an ordinarily prudent person in a like position would exercise under similar circumstances; and iii) in a manner he or she reasonably believes to be in the best interests of the corporation.
        2. In discharging his or her duties, a director may rely on information, opinions, reports, or statements, including financial statements and other financial data, if prepared or presented by: i) One or more officers or employees of the corporation whom the director reasonably believes to be reliable and competent in the matters presented; ii) legal counsel, public accountants, or other persons as to matters the director reasonably believes are within the persons’ professional or expert competence; or iii) a committee of the board of directors of which he or she is not a member if the director reasonably believes the committee merits confidence.
        3. A director is not acting in good faith if he or she has knowledge concerning the matter in question that makes reliance otherwise permitted by subsection (2) unwarranted.
        4. A director is not liable for any action taken as a director, or any failure to take any action, if he or she performed the duties of his or her office in compliance with this section.

    Still, though, there is no express definition of the term “fiduciary duty.” The purpose of studying fiduciary relationships is to identify the areas where it exists and gain an insight into the duties of a fiduciary. After all, every board member is a fiduciary for their community association. Common definitions of the term “fiduciary” include:

        • A fiduciary relationship is a relation between two parties wherein one party (fiduciary) has the duty to act in the best interest of the other party (beneficiary or principal).
        • A fiduciary is a person who holds a legal or ethical relationship of trust with one or more other parties. Typically, a fiduciary prudently takes care of money or other assets for another person.
        • A fiduciary duty is a relationship in which one party places special trust, confidence, and reliance in and is influenced by another who has a fiduciary duty to act for the benefit of the party.
        • Most importantly, and germane to this discussion, a fiduciary is a person or organization that acts on behalf of another person or persons, putting their clients’ interests ahead of their own, with a duty to preserve good faith and trust.

    In other words, a good community association board member puts the interest of their association above their own personal interests. Thus, while we may not be able to stop bad people from doing bad things, through continuing education we can help good people do better.

    To recap, there are three things that can be readily accomplished that would make a positive difference for Florida’s community associations.

        1. Remove the ability of a board member to be “certified” by signature alone.
        2. Require continuing education for board members serving continuous years.
        3. Amend Florida Statutes, Chapters 718 and 720, to include express definitions of fiduciary duty so that it is made patently clear that every board member must put their community association above and ahead of their own personal interests.

    You want to know why some tile sealers for ceramic and porcelain are better than others?

    Let me share what I believe you want to know to make a smart decision.

     

    What Should You Look For & Look Out For When Choosing A Tile Sealer?

    LOOK FOR:

    1) The supplier or the manufacturer is very clear that their sealer will bond to ceramic and porcelain because this type of surface is very dense. It is very impermeable. You CAN NOT just use a standard concrete surface sealer on ceramic and porcelain tiles. Check for that, first of all.

    2) The tile sealer product will form a film on the surface and is not just a penetrating or impregnator type sealer.

    NOTE:
    Impregnator types of products can’t bond or soak into the tile surface. They do very little to change the look of the tile and typically, this type of sealer will rub off very quickly, forcing you to seal the porcelain or ceramic tiles repeatedly.

    LOOK OUT FOR or BEWARE OF…

    Materials That Are Lacking In Store-Bought Tile Sealer Products… Making Them Ineffective.

    First of all, any sealer you choose for ceramic and porcelain tile must have adhesion promoters that will allow the product to bond to that surface.

    The components found in standard surface treatments or surface sealers simply won’t work.

    Secondly, make sure if you want to change the look of the tile or the sheen of the tile, the product is a film-forming product, not just a penetrating or impregnator sealer.

    These do very little to change the look of the tile and will not last for long on a very dense, impermeable ceramic or porcelain surface.

    What Kind Of Results Do Ineffective Floor Sealers Produce?

    If you use a product that’s not developed specifically for ceramic and porcelain tile, what’s going to happen is:

    • It may put a film over the surface, but because there’s no way for it to absorb into the surface. It’s going to lift and peel very quickly.
    • It may last a few weeks, but after any standard use or cleaning of any kind, lifting and peeling will very quickly show up.
    • If you use penetrating types of sealers, you won’t see any change in appearance, or very little at all because there’s nowhere for those components to penetrate the tile.

    What Should You Be Aware Of Before You Buy A Tile Sealer?

    3 Specific Things To Look For In A Tile Sealer That Will Provide Superior Results:

    1. You need to have adhesion promotion technology that allows for covalent bonding to a very dense ceramic or porcelain tile surface.
    2. You need to use urethane technology, which is very durable, UV resistant. Your product needs to have two parts to create a very tough cross-link that produces an industry-leading seal over the tile and grout.
    3. Your sealer needs a high amount of polymer in the product for durability and protection, around 50% solids, which is much higher than standard floor finishes.

    On the commercial side, you’re going to have restrooms, shower facilities, kitchens, showrooms, entrance-ways, hallways, lobby areas and stairways, both interior and exterior.

    On the consumer or residential side, in the living areas, kitchens and the bathrooms.

    These areas below are where you should look for a tile sealer that will make the floor much easier to clean, give it wet look if desired and also be resistant to chemicals, pet and food stains.

    • Bathrooms/ Restrooms
    • Kitchens and Dining Areas
    • Lobby and Hallways
    • Stairs and Entrances
    • Tile and Grout Surface
    • Floors and walls

    Surface Preparation

    Proper preparation is critical to ensure an adequate bond.

    The ceramic and grout must be thoroughly cleaned with an appropriate cleaner. For cleaning and restoring old ceramic, porcelain tile and grout to like-new condition, we recommend using an alkaline cleaner formulated for ceramic and porcelain tile.

    This will cut through tough grease, soap scum and soil stains. For shower stalls and outside applications, we recommend you use an acid-based cleaner to lightly etch the surface and ensure greater adhesion in wet conditions. This can also remove tough, hard water deposits, grout haze and efflorescence.

    What Do You Need To Know About A Gloss, Matte Or Satin Finish?

    Substances that may soil the tile and grout are urine or other organic matter or even aggressive cleaning chemicals.  This is where a two-part product, like GlazeGuard® Ceramic and Porcelain tile sealer really produces results.

    It’s a very tough, hard-wearing sealer. It puts a barrier across the tile and the grout, eliminates odor and makes the entire floor much easier to clean and maintain. For addition slip resistance ( anti- slip properties) GlazeGuard® Plus should be used.

    The Best Tools And Equipment To Use.

    In order to apply a ceramic and porcelain tiles sealer, you need to approach it as if you were painting the floor.

    You will need:

    1. A good quality roller
    2. A roller tray
    3. A little hotdog roller or brush for sealing around the edges.

    We recommend a roller that is a good quality 3/8th nap microfiber. Change out rollers after 60 minutes of use with a fresh one. We also recommend that you only mix the amount of product that you can use in about 60 minutes.

    Make sure the room is well lit and that you take your time and apply the product. The product needs to be fully mixed before you use it. Use a mixing stick to slowly mix the material, then pour it into a roller tray. Then roll it out just like you were painting a floor.

    Cleaning And Preparing Tiles Before Applying A Sealer.

    We always tell people to be fussy about cleaning porcelain tile before sealing it.

    Remember, you’re going to seal it with something that’s going to last several years. Make sure there’s no dust or dirt on the floor. Any footprints or stains will be locked down by the sealer.

    So be fussy about cleaning it. You should use a High pH tile and grout cleaner that will remove dirt grease stains.

    If applying GlazeGuard to areas that are frequently exposed to water or cleaning chemicals, like showers or restrooms, we recommend you micro-etch the surface with something like our PreTreat Mild Acidic Ceramic Tile Cleaner. It will prepare the surface and give you better adhesion for the GlazeGuard® sealer.

    After Applying The Product, What Ongoing Floor Care Is Recommended?

    One of the key advantages of using our GlazeGuard tile sealers is that it makes cleaning and maintaining the floor much easier.

    You don’t need to use harsh or aggressive chemicals. You just need to use mild detergents or mild soap to clean the surface. The dirt won’t stick to the surface as it does with untreated tiles.

    You don’t have to use a concentrated level of cleaning supplies, which should reduce your costs noticeably.

    It’s also important to keep dust and dirt and sand off the floor. It’s a good practice to use mats at entrance ways to trap dirt, dust and grease before they get onto the floor.

    In almost every homeowner’s insurance contract, there is a deductible that the homeowner is
    required to pay before insurance proceeds become due and owing. Many times, the amount of the
    deductible is dependent on whether the claim is a hurricane loss or a non-hurricane loss. Although
    homeowners can obtain lower deductible amounts, usually by paying higher premiums, a vast
    number of policies in Florida contain higher deductibles for hurricane losses than non-hurricane losses.
    A very basic way of looking at the deductible, if the homeowner has a deductible of $5,000 on a
    hurricane claim, the loss must have a value of more than that $5,000 before the insurance company is
    required to pay any funds for the loss. If the value of the claim is below $5,000 that is typically referred
    to as being below deductible. If the claim is valued at $6,000 then the insurance company will reduce
    the payment by the $5,000 deductible, as the homeowner is responsible for paying this for the repairs,
    and will make a payment to the homeowner for $1,000.

    I often speak with homeowners who will receive a small payment for their damages that was
    reduced by the deductible. Many homeowners are under the impression that because the amount paid
    was reduced by the amount of the deductible, that the deductible has been paid. This is not the case. In
    its simplest form, if the homeowner needs $20,000 for the damages and there is a $5,000 deductible,
    then the homeowner will receive $15,000 and will be required to pay out of pocket the $5,000
    deductible.

    Florida statute 489.147 (2023) addresses prohibited property insurance practices. The statute
    states that the “consumer is responsible for payment of any insurance deductible.” Subsection (3) states
    that it is a felony of the third degree to pay, waive, or rebate any part of the insurance deductible with
    the intent to injure, defraud, or deceive.

    It is important for homeowners to understand how their policy works and specifically, what type
    of costs the homeowner could be liable for when shopping for insurance. Many times, I believe, it is
    better to pay a little extra in premium for a lower deductible than to be subject to much larger hurricane
    deductibles.
